End-User Licence Agreement (EULA)
Ásgarðr (VT Hub) · Version 1.1 · As of 21 September 2026
Copyright © 2026 Verheyden Tech. All rights reserved.
This end-user licence agreement (the “Agreement”) is a legally binding agreement between you — a natural or legal person (“Licensee”) — and Verheyden Tech, Uppener Paß 3, 31135 Hildesheim, Germany (“Licensor”), concerning the software “Ásgarðr”, previously and also known as “VT Hub”, including its documentation and updates (the “Software”).
By downloading, installing or using the Software you agree to this Agreement. If you do not agree, you may not install or use the Software.
1. Definitions
“Base version” is the functionality of Ásgarðr provided free of charge. It can be used without a licence key.
“Add-on features” are paid extensions purchased and unlocked separately.
“User account” is the account on verheyden-tech.de through which the Software is obtained and the sign-in is performed.
2. Grant of licence
The Licensor grants you a non-exclusive, non-transferable and revocable right to install and use the base version — privately as well as commercially, on any number of devices that you use or control. No licence key is required for this.
Use of add-on features requires a valid licence key or an active subscription and is limited to the scope purchased.
The Software is licensed, not sold.
3. Restrictions
You may not, and may not permit any third party to:
- Redistribute the installer: distribute, make publicly available, rent, lease, sell or sublicense the Software or its installation file. It is obtained solely through a user account on verheyden-tech.de.
- Reverse engineer: decompile, reverse engineer or disassemble the Software, except where mandatory law expressly permits it (in Germany: §§ 69d, 69e UrhG).
- Modify: modify, translate, adapt or create derivative works of the Software.
- Circumvent licence checks: unlock add-on features without a valid licence or bypass the check.
- Misuse: use the Software to create malicious code, for unauthorised automated access, or to facilitate unlawful acts.
- Remove notices: remove, alter or obscure copyright, trademark or other proprietary notices.
4. What the Software transmits
So that nothing here remains unclear that might stand in the way of using it:
- The Software signs in to the Licensor’s servers and retrieves the list of add-on features enabled for your account. An internet connection is required for this.
- Your sign-in session is stored locally in encrypted form, bound to your Windows user account and your device. It does not leave your device.
- No hardware identifier is collected and no usage statistics are produced. The Software contains no telemetry.
The Licensor reserves the right to introduce a licence-key check for paid add-on features in future. This does not affect the usability of the base version.
Which personal data is processed is described in the privacy policy.
5. Licensor’s rights
All ownership and intellectual property rights in the Software — including source code, interface design, databases and architecture — belong exclusively to Verheyden Tech. The Software is protected by copyright.
The Software contains third-party components subject to their own licence terms. Those terms take precedence over this Agreement for the component concerned; the notices are shipped with the Software.
6. Updates and changes to this Agreement
The Licensor may provide updates but is not obliged to do so.
Each version of the Software is governed by the terms accompanying it. If you install a new version, you accept the terms then in force. If you continue to use an existing version, the terms you agreed to continue to apply to it unchanged. There is no tacit acceptance of amended terms.
7. Term, suspension and termination
This Agreement is concluded for an indefinite period. You may end it at any time by uninstalling the Software.
The Licensor may suspend your user account or terminate this Agreement if
- you materially or repeatedly breach this Agreement,
- the download offering is being misused,
- you are in default of payment for add-on features, or
- there is a specific suspicion of a security incident involving your account.
You will be notified before a suspension and given an opportunity to comment, unless there is imminent danger. After termination you must cease use and delete all copies of the Software.
8. Warranty
The base version is provided free of charge and in its present condition. The Licensor gives no warranty that its functions will meet your requirements or that its operation will be uninterrupted or error-free. For defects, the Licensor is liable under § 521 of the German Civil Code (BGB) only in cases of intent and gross negligence.
For add-on features purchased for a fee, the statutory warranty rights apply unchanged.
9. Liability
The Licensor is liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act.
In cases of simple negligence, the Licensor is liable only for breach of a material contractual obligation — an obligation whose fulfilment makes the proper performance of the Agreement possible in the first place and on whose observance you may regularly rely. In such cases liability is limited to the foreseeable damage typical for this type of contract, and in amount to the fees you paid for add-on features in the twelve months preceding the damaging event.
Liability is otherwise excluded. This does not involve any change to the burden of proof to your detriment.
You remain obliged to back up your data at appropriate intervals. For data loss the Licensor is liable only to the extent that the damage would also have occurred had the data been backed up properly.
10. User account
Obtaining the Software requires a user account with a confirmed email address. You are obliged to keep your credentials secret and to inform the Licensor without undue delay if you have any indication of unauthorised use.
11. Right of withdrawal for paid add-on features
This clause applies only if you are a consumer — that is, you acquire the add-on features for purposes predominantly outside your trade, business or profession. The free base version is not a contract for consideration; no right of withdrawal arises in that respect.
You have the right to withdraw from this contract within fourteen days of its conclusion without giving any reason. A clear statement suffices — for example via our contact form or by post to the address given above. Sending the statement in good time is sufficient to meet the deadline.
If you withdraw, we will refund all payments received without undue delay and at the latest within fourteen days of receiving your statement, using the same means of payment you used. No charges arise for you as a result.
Early expiry: The right of withdrawal expires if we have begun performance after you expressly consented to us beginning before the end of the withdrawal period and at the same time confirmed that, by giving that consent, you lose your right of withdrawal (§ 356(5) BGB). We obtain that consent expressly during the ordering process.
12. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice of law applies only to the extent that it does not deprive you of the protection of mandatory provisions of the state in which you have your habitual residence.
If you are a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from this Agreement is Hildesheim, Germany.
Should any provision of this Agreement be or become invalid, the validity of the remaining provisions shall remain unaffected.
