End-User Licence Agreement — Sindri
Sindri · Version 1.0 · As of 31 August 2026
Copyright © 2026 Verheyden Tech. All rights reserved.
Scope. This Agreement applies to Sindri — the NuGet packages
VT.Sindri, VT.Sindri.Data, VT.Sindri.Service,
VT.Sindri.UI, VT.Sindri.PrEng, and future Sindri packages — and the
associated feed access. Other Verheyden Tech products are governed by their own licence
agreements.
This Agreement supplements Verheyden Tech's proprietary source code licence. Where the two conflict, this Agreement governs for Sindri.
1. Definitions
“Sindri” means the packages named above and the private, authenticated package feed through which they are distributed.
“Init” means the document included with Sindri that offers a setup dialogue for AI coding assistants.
2. Grant of licence
The Licensor grants you a simple, non-exclusive, non-transferable right to embed Sindri, to the extent of your subscription, and to build your own applications with it. You may distribute or publish the resulting compiled applications to your own customers or users.
You may not distribute Sindri's source code, the NuGet packages themselves, or your feed access key as a standalone product or to third parties who do not hold their own subscription.
3. Responsibility for your own code
Sindri provides building blocks — base classes, architectural patterns, and, in a future version, authentication infrastructure. Sindri does not constitute any review, certification, or audit of the application you build with it.
You are solely responsible for:
- reviewing your own code built with Sindri before putting it into operation,
- using Sindri in accordance with its documentation, and
- meeting your own security, privacy, and compliance requirements.
The Licensor is not liable for damages arising from code that you or third parties created using Sindri — regardless of whether that code was written by a human, an AI, or both in collaboration. Clause 6 remains unaffected.
4. Optional in-depth review
For a separately agreed, one-time fee, the Licensor offers holders of an active Sindri subscription a personal code review, in-depth analysis, and penetration test. This service is optional and does not affect Clause 3 unless and until it has been used.
5. Updates and version access
While your subscription is active, you have access to every published version of your subscribed packages, including future feature and security updates.
Once your subscription ends, you may continue using package versions you already obtained. Access to versions published after the end of your subscription ends — this applies explicitly to security-relevant updates as well. The Licensor recommends keeping a subscription active for any production application built on Sindri.
6. Warranty and liability
The Licensor is liable without limitation for intent and gross negligence, for injury to life, body, or health, and under the Product Liability Act. For simple negligence, the Licensor is liable only for breach of a material contractual obligation, limited to foreseeable, typical damage and capped at the fees paid in the twelve months preceding the damaging event. Liability is otherwise excluded.
Clause 3 takes precedence for damages arising from your own code built with Sindri.
7. Licensor's rights
All rights in Sindri — including source code, architecture, and Init — belong exclusively to Verheyden Tech.
8. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this applies only insofar as it does not deprive you of protections under mandatory law of your country of habitual residence. If you are a merchant, the place of jurisdiction is Hildesheim.
Should any provision be or become invalid, the validity of the remaining provisions is unaffected.
